Terms of use and sale

1. Company and scope

1.1. These terms govern ShopVimGrace and purchases for personal use from VIMGRACE, UNIPESSOAL LDA, a Portuguese single-member limited liability company, NIPC and registration number 517626829, registered with Conservatória do Registo Comercial do Funchal. Registered office and correspondence address: Rua Direita, n.º 35, 1.º A, 9050-450 Funchal, Madeira, Portugal. In these terms, “we” means that company. Contact ShopVimGrace support at .

1.2. We apply these terms to the platform and its product pages, including ACTIVIDAN and ACTIVIDAN Travel. Before you place an order, we identify the contracting seller. A manufacturer or supplier named on a product card is not necessarily that seller. If you purchase from the Russian company, its separate documents apply. Your choice of interface language does not select the seller, delivery country or governing law.

1.3. If you join a promotion programme or earn remuneration, we apply the programme's separate terms. You can buy products without joining a programme or accepting marketing.

2. Your account and use of the site

2.1. Provide accurate information needed for your order and correct any errors. Use another person's information only with a lawful basis and act on their behalf only with the required authorisation. You must have the legal capacity required for the transaction and comply with any statutory age restrictions for the product.

2.2. Keep your access credentials private and tell our support team about suspected unauthorised access. If you dispute an account action, we assess the circumstances, including who authorised it. Do not use another person's payment instrument without permission.

2.3. Do not attempt unauthorised access, interfere with the site, introduce malicious code, send spam or unlawfully disclose or copy others' information. We may restrict access proportionately to address a breach or security risk. We remain responsible for paid orders, and you retain the right to make a lawful complaint. Where appropriate, we explain the restriction and give you an opportunity to contest it.

3. Products, prices and orders

3.1. Before you order, we provide product characteristics, quantity, seller details, price, payment options, delivery charges and restrictions. Check your order and address before confirmation. Follow the product's labelling and instructions; general website information does not replace them or other required product information.

3.2. We identify the currency and total price for your order, including applicable taxes and disclosed delivery charges. Before you are bound, we explain any further charges or how they are calculated. We obtain your express agreement for optional paid extras and do not select them for you.

3.3. When placing an order with an obligation to pay, you must expressly acknowledge that obligation. You enter into a contract with us under the offer and confirmation shown during checkout and applicable law. We provide the contract information in a durable form as required by law and fulfil the concluded contract on its agreed terms.

3.4. If an error or lack of stock affects an order, we contact you to resolve it lawfully. We do not substitute goods, increase an agreed price or rely on an unrestricted right to cancel a binding contract. Sums for an order that cannot lawfully be fulfilled are refunded within the applicable deadline.

4. Delivery, payment and returns

4.1. We apply our Payment, Delivery and Returns and refunds documents to your order. If general wording conflicts with specific agreed order conditions or mandatory consumer law, we follow those conditions and the law.

4.2. Risk normally passes when you or a person you nominate, other than the carrier, physically receives the goods. A different rule may apply if you independently commission a carrier not offered by us. Signing for a parcel does not waive claims about defects, missing items or delivery damage.

4.3. For distance purchases covered by Portuguese or EU withdrawal rules, you normally have 14 calendar days to withdraw without giving a reason, subject to the statutory exceptions explained in Returns and refunds. Legal conformity rights are separate and are not restricted to this period.

5. Content and reviews

5.1. Content and marks belong to us or their respective right holders. You may use the site as intended and exercise rights permitted by law. To reproduce or redistribute protected material commercially, obtain the right holder's permission or ensure that you have another legal basis.

5.2. You retain ownership of the reviews you submit. When you submit a review for publication, you give us non-exclusive, royalty-free permission to display and reproduce it on the site for that purpose. We may apply technical formatting without distorting its meaning. You do not assign all present and future rights. We obtain a separate appropriate basis for advertising use of your name, image or personal information.

5.3. Submit lawful reviews based on your actual experience. We do not treat fair criticism, consumer complaints or reports to regulators as a breach of these terms.

6. Privacy and liability

6.1. We explain our use of personal data and browser storage in our Privacy policy and Cookie policy. Where processing requires consent, we ask for a separate choice. We do not treat acknowledgement of these documents as blanket consent to optional marketing or other processing.

6.2. We are responsible for our contractual and statutory obligations. We do not exclude mandatory conformity guarantees, liability for death or personal injury caused by negligence, fraud, intentional misconduct or other liability which cannot lawfully be limited. Consumers do not give up payment disputes, compensation or other legal remedies by accepting these terms.

6.3. If you follow a link to an independent website, review its own terms. We remain responsible for our service providers where the law requires, and we continue to fulfil existing orders during website maintenance.

7. Changes, complaints and law

7.1. We publish changes with their effective date and apply them prospectively. For material contractual changes, we give the notice and obtain the agreement required by law. We preserve your existing rights and do not retrospectively reduce them. You do not have to inspect the site continually to preserve those rights.

7.2. Contact our ShopVimGrace support team at , through account support or by post to our address in section 1. Include the order reference or other proof of purchase and tell us which remedy you seek. We request only information needed for the enquiry, not sensitive card details or a full identity-document copy for every message.

7.3. We contract under Portuguese law. If you are a consumer in another country to which we direct our activities, you retain the mandatory protections of the law of your habitual residence. We determine jurisdiction under applicable law and do not require you to use Portuguese courts exclusively where that would override your consumer rights.

7.4. For a consumer dispute with us, you may contact a competent alternative dispute resolution body, including Centro de Arbitragem de Conflitos de Consumo da Região Autónoma da Madeira within its jurisdiction. You can find information at www.madeira.gov.pt/cacc and the official Portuguese list at www.consumidor.gov.pt. We identify this body as a possible competent forum; we do not represent that we have subscribed to every voluntary arbitration scheme. You retain applicable mandatory consumer arbitration rights and may also seek assistance from the European Consumer Centre for a relevant cross-border dispute or use the courts.

7.5. If a clause is unenforceable, we and you remain bound by the other lawful clauses. Keep statutory time limits in mind when making a complaint or negotiating with us; those steps suspend a time limit only where the law provides.
